Uvisoft Technology Private Limited (“Uvisoft”) engages with third parties as Channel Partners and Referral Partners to promote and distribute our services. By becoming a Channel or Referral Partner, you agree to the following terms and conditions:

9.1. Partner Eligibility

9.1.1. To become a Channel or Referral Partner, you must enter into a formal agreement with Uvisoft. This agreement will define the scope, obligations, and compensation related to your partnership role.

9.1.2. Uvisoft reserves the right to review and approve or deny any application for partnership based on our internal evaluation criteria. We also reserve the right to terminate any partnership agreement at any time for breaches of these terms or the partnership agreement.

9.2. Responsibilities of Partners

9.2.1. Channel Partners are authorized to market, sell, and distribute Uvisoft’s services to end clients on behalf of Uvisoft, as per the terms of the Channel Partner Agreement.

9.2.2. Referral Partners are responsible for referring potential clients to Uvisoft. Upon a successful referral, Referral Partners may be entitled to commissions or incentives as outlined in the Referral Partner Agreement.

9.2.3. Both Channel and Referral Partners must act in good faith and represent Uvisoft’s services accurately. Misrepresentation of our services or brand can lead to immediate termination of the partnership and potential legal action.

9.3. Compensation

9.3.1. Channel Partners: Compensation for Channel Partners will be based on a percentage of sales or other performance metrics as outlined in the respective partnership agreement. Payments will be made based on successful sales or services rendered to clients.

9.3.2. Referral Partners: Referral Partners may be entitled to a commission for each referral that leads to a successful sale, as specified in the Referral Partner Agreement. Payments will only be made after full payment has been received from the referred client.

9.3.3. Uvisoft reserves the right to modify commission structures or terms at any time, with prior notice to the partner.

9.4. Termination

9.4.1. Either Uvisoft or the partner may terminate the partnership by providing written notice in accordance with the terms outlined in the respective agreement.

9.4.2. In the event of a breach of these Terms or the partnership agreement, Uvisoft reserves the right to terminate the partnership immediately without notice.

9.4.3. Upon termination, the Channel or Referral Partner must cease all use of Uvisoft’s branding and promotional materials and return any confidential information obtained during the partnership.

9.5. Confidentiality

9.5.1. Channel and Referral Partners agree to maintain the confidentiality of any proprietary or confidential information provided by Uvisoft during the course of the partnership. This includes but is not limited to client information, pricing, business strategies, and marketing materials.

9.5.2. Disclosure of confidential information to third parties without written consent from Uvisoft will result in immediate termination of the partnership and may lead to legal action.

9.6. Compliance with Laws

9.6.1. Channel and Referral Partners must comply with all applicable local, state, and national laws and regulations when engaging in activities under this partnership.

9.6.2. Any legal issues arising from non-compliance are the sole responsibility of the Channel or Referral Partner.

9.7. No Assignment

9.7.1. Channel and Referral Partners may not assign or transfer their rights or obligations under this partnership to another party without prior written consent from Uvisoft.

9.8. Limitation of Liability

9.8.1. Uvisoft will not be liable for any indirect, incidental, special, or consequential damages that arise out of or relate to the partner’s performance or non-performance under this partnership.

10. Investor Terms and Revenue Sharing

Uvisoft Technology Private Limited (“Uvisoft”) engages with Investors under revenue-sharing agreements to provide a return on investment over a specified period. By entering into an investment agreement with Uvisoft, investors agree to the following terms and conditions:

10.1. Investor Eligibility

10.1.1. Investors must enter into a formal Investment Agreement with Uvisoft that outlines the investment amount, revenue-sharing terms, and the duration of the investment.

10.1.2. Uvisoft reserves the right to accept or reject any investment application at its discretion. We may require documentation to verify an investor’s eligibility before formalizing the agreement.

10.2. Revenue Sharing

10.2.1. Uvisoft offers revenue sharing to investors as a return on investment for a specified period. The percentage of revenue sharing and the payment schedule will be clearly outlined in the Investment Agreement.

10.2.2. Revenue sharing will be calculated based on Uvisoft’s net revenue or other metrics defined in the agreement and will be disbursed according to the timeline agreed upon.

10.2.3. Uvisoft reserves the right to adjust the revenue-sharing percentage or modify the terms based on mutual consent, as outlined in the Investment Agreement.

10.3. Bond and Security

10.3.1. Uvisoft may issue a bond to investors as a security measure, ensuring the safety and return of their investment. The bond will include specific terms, including but not limited to the bond value, maturity date, and any collateral backing the bond.

10.3.2. The bond is legally binding, and in the event of any default, investors will be entitled to claim their rights as per the bond terms and relevant legal procedures.

10.4. Investor Obligations

10.4.1. Investors must comply with the terms outlined in the Investment Agreement and must not engage in any actions that may harm Uvisoft’s reputation, business, or legal standing.

10.4.2. Any disputes regarding the investment will be resolved according to the dispute resolution mechanisms defined in the agreement, including mediation or arbitration if necessary.

10.5. Termination of Agreement

10.5.1. Either Uvisoft or the investor may terminate the investment agreement according to the termination clauses outlined in the agreement, subject to any penalty or notice period.

10.5.2. In case of termination, the outstanding revenue-sharing amount due to the investor will be settled as per the agreed terms or any applicable bond conditions.

10.7.2. Uvisoft will not be held liable for any losses or damages incurred by investors as a result of market conditions, business performance, or other factors beyond Uvisoft’s control.

10.8. Compliance with Laws

10.8.1. Investors must comply with all applicable laws and regulations related to investments and financial transactions. Uvisoft will not be responsible for any legal issues arising from the investor’s non-compliance with these laws.

10.9. No Assignment

10.9.1. Investors may not assign or transfer their investment rights or obligations to any third party without prior written consent from Uvisoft.

11. Employee Terms and Conditions

Uvisoft Technology Private Limited (“Uvisoft”) follows a comprehensive set of policies and procedures to manage its employees. By joining Uvisoft as an employee, you agree to comply with the following terms and conditions:

11.1. Employment Eligibility

11.1.1. All employees must provide valid identification, educational qualifications, and any other documentation requested by Uvisoft during the hiring process.

11.1.2. Employment at Uvisoft is subject to passing background checks, reference verifications, and, where applicable, any required skill assessments.

11.2. Employment Contract

11.2.1. Every employee will receive an Employment Contract outlining their role, responsibilities, compensation, benefits, and other employment-related terms.

11.2.2. The Employment Contract will specify the employment type (permanent, contract-based, or part-time) and any probation period that may apply.

11.3. Employee Conduct

11.3.1. Uvisoft expects all employees to maintain professional behavior, both within the workplace and in their interactions with clients, partners, and colleagues. Employees are required to follow Uvisoft’s Code of Conduct at all times.

11.3.2. Misconduct, including but not limited to harassment, discrimination, fraud, or theft, may lead to disciplinary action or termination of employment.

11.4. Confidentiality and Intellectual Property

11.4.1. Employees are required to sign a Non-Disclosure Agreement (NDA), committing to protect Uvisoft’s proprietary information, trade secrets, client data, and any other confidential materials.

11.4.2. Any intellectual property, including but not limited to inventions, developments, or creative work produced by the employee during their employment, will be the exclusive property of Uvisoft unless otherwise specified in writing.

11.5. Compensation and Benefits

11.5.1. Employees will be compensated as per the terms outlined in their Employment Contract. Any salary adjustments, bonuses, or incentives will be communicated in writing.

11.5.2. Employees may be eligible for additional benefits such as health insurance, paid time off, or retirement plans, as specified in their employment agreement and company policies.

11.6. Working Hours and Overtime

11.6.1. Employees are expected to work the hours defined in their Employment Contract, typically aligning with the company’s standard business hours.

11.6.2. Overtime may be required in certain situations, and employees will be compensated for overtime as per the applicable labor laws and company policies.

11.7. Termination of Employment

11.7.1. Either Uvisoft or the employee may terminate the employment relationship by providing written notice as outlined in the Employment Contract.

11.7.2. Uvisoft reserves the right to terminate employment immediately in the event of serious misconduct, breach of contract, or legal violations by the employee.

11.7.3. Upon termination, employees are required to return all company property, including but not limited to laptops, access cards, and confidential documents.

11.8.1. Employee performance will be evaluated periodically to assess their contributions and identify areas for growth. Performance reviews will influence decisions regarding promotions, salary adjustments, and career development opportunities.

11.9. Grievance and Dispute Resolution
